Terms of Service

Public Beta. Affiliona is currently in a public beta and is provided free of charge during the beta period. These Terms govern your access to and use of the Affiliona platform and related services, including any websites, applications, and features we operate (collectively, the "Service").

1. Acceptance of these Terms

By creating an account, accessing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. You must verify your email address before accessing most account features. We may suspend or terminate accounts that provide false information, are used to violate these Terms, or are otherwise inactive or compromised.

3. Organizations and Business Users

Business users may create an organization to publish referral programs, affiliate opportunities, and hiring referrals. Organization administrators can invite members and assign roles (owner, administrator, manager, analyst, or support) that control what each member may do. The organization and its members are responsible for the accuracy of the business profile they publish, including name, industry, website, and country. Affiliona may require business verification before an organization's opportunities become publicly discoverable. Verification reflects a review of self-submitted information only and is not an endorsement of the business or its offerings.

4. Participants (Referrers and Affiliates)

Individuals may enroll as participants in programs they are eligible for. When you enroll, Affiliona assigns you a unique referral link and identifier used to attribute qualifying referrals to you. You are responsible for how you promote your referral links, and you agree to promote them truthfully and lawfully.

5. The Affiliona Marketplace Role

Affiliona is a neutral infrastructure provider. Businesses publish opportunities; participants promote them; Affiliona records attribution and reward state. Affiliona is not a party to any referral, affiliate, or hiring agreement between a business and a participant, does not guarantee the accuracy of business listings, does not guarantee that any reward, commission, or bounty will be earned or paid, and does not endorse any business, program, or participant.

6. Referral and Affiliate Programs

A business may define a referral program (with per-referral rewards or milestones) or an affiliate program (with commissions, including fixed, percentage, or tiered structures). Each program may define its own eligibility rules, geographic availability, attribution window, reward or commission terms, and disclosure language. Program-specific terms are set by the business and are displayed on the opportunity page where applicable. In the event of a conflict between these Terms and a program's own terms, the program's own terms govern that program's specific reward rules, but these Terms continue to govern your use of the Service.

7. Hiring Referrals

Businesses may publish jobs and define a referral bounty payable when a referred candidate reaches a qualifying milestone (such as an interview or hire). Candidate information is processed in a privacy-minimized manner. Affiliona does not verify professional licenses, does not guarantee hiring outcomes, and does not guarantee that a bounty will be earned. Bounty eligibility and vesting (including any holding period) are defined by the business on the opportunity page.

8. Truthful Promotion and Prohibited Conduct

You agree not to:

  • Send unsolicited bulk or spam communications, or otherwise promote referral links in violation of applicable anti-spam laws;
  • Make false, misleading, or deceptive statements about any business, program, or offering;
  • Impersonate another person or misrepresent your relationship to a business or product;
  • Engage in fraud, self-referral, fabricated conversions, automated or artificial clicks, or any manipulation of attribution, rewards, or rankings;
  • Attempt to access another user's account, organization, or data, or to circumvent eligibility, geography, or verification controls;
  • Reverse engineer, scrape, or otherwise interfere with the Service or its security features;
  • Use the Service for any unlawful purpose.

Affiliona may review suspicious activity and, in its discretion, flag it for business review, suppress it from public rankings, or suspend or terminate involved accounts.

9. Attribution, Conversions, Rewards, and Commissions

Affiliona records clicks and conversions and attributes them to the appropriate participant using the referral identifier and, where applicable, an attribution window set by the business. Rewards and commissions are recorded in an "earned" or "pending" state and become payable only when the responsible business approves them. Affiliona does not itself approve, guarantee, or fund rewards or commissions except as explicitly stated on the Service. Rewards and commissions may be reversed or corrected when they were recorded in error or associated with prohibited conduct.

10. Payouts and Corrections

Where a business chooses to pay cash rewards, a participant may request a payout of their available, approved balance. Payout requests are reviewed and processed by the business. Affiliona records payout state but does not itself move funds. Businesses are solely responsible for paying rewards, commissions, and bounties they approve. Affiliona may correct or reverse records that are erroneous or associated with fraud or abuse.

11. Taxes

You are solely responsible for determining and paying any taxes applicable to rewards, commissions, or bounties you receive, and for any taxes applicable to your use of the Service. Affiliona does not provide tax advice.

12. Intellectual Property and Content

Affiliona and its licensors own the Service and all related intellectual property. You retain ownership of content you submit, and you grant Affiliona a limited, non-exclusive license to use, display, and distribute that content solely to operate, provide, and improve the Service. You represent that you have the right to submit any content you provide and that it does not infringe the rights of others. Do not upload or publish content you do not have permission to use.

13. Third-Party Services

The Service may link to third-party websites (for example, a business's landing page or application system). Affiliona is not responsible for the content, policies, or practices of third-party sites, and any transaction you enter with a third party is between you and that third party. Affiliona may use third-party service providers to help operate the Service (such as email delivery).

14. Availability and Changes

Affiliona is provided "as is" and may be interrupted, modified, or discontinued at any time, including during beta. We may update these Terms from time to time. If we make material changes, we will provide notice through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your account or an organization's access if you breach these Terms, if we detect fraud or abuse, or for other legitimate business reasons. We will provide reasonable notice where practicable, except where immediate action is necessary.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AFFILIONA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OPPORTUNITY, REWARD, COMMISSION, OR BOUNTY WILL BE EARNED OR PAID.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFFILIONA, ITS AFFILIATES, AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AFFILIONA'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID AFFILIONA FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. DURING THE BETA PERIOD THE SERVICE IS PROVIDED FREE OF CHARGE.

18. Indemnification

You agree to indemnify and hold harmless Affiliona, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or the rights of any third party.

19. Governing Law and Disputes

[Governing law, venue, and dispute resolution procedure to be finalized by qualified legal counsel based on Affiliona's jurisdiction of incorporation and operation. These Terms are not yet specific as to governing law.]
